SERVICE DELIVERY TERMS
Service Descriptions
Rockwater Consulting LLC provides digital marketing services including but not limited to psychology-based marketing strategies, brand development, graphic design, social media management, website development, consumer behavior analysis, and advanced digital marketing tactics such as geofencing and retargeting.
Service Agreements
All services are provided based on individual agreements that outline specific deliverables, timelines, and project scope. These Terms and Conditions govern all service relationships in addition to any separate service agreements.
Project Timelines
Project timelines are established in individual service agreements. We strive to meet all agreed-upon deadlines, but timelines may be adjusted due to client delays in providing required materials, feedback, or approvals.

Clients are responsible for:

Revisions and Changes

Intellectual Property
Upon full payment, clients receive rights to final deliverables as specified in individual service agreements. Rockwater Consulting retains rights to our proprietary methodologies, processes, and psychology-based marketing strategies.
PAYMENT TERMS
Payment Structure
Payment terms are specified in individual service agreements. Generally, full payment is required before project commencement unless otherwise agreed upon in writing.
Accepted Payment Methods
We accept payment via bank transfer, credit card, and other methods as specified in service agreements. Processing fees may apply for certain payment methods.
Late Payments
Late payments may result in project delays or suspension of services. A late fee of 1.5% per month (or the maximum allowed by Arkansas law, whichever is less) may be applied to overdue balances.
Refund Policy
Refunds are handled on a case-by-case basis depending on project stage and deliverables completed. Refund policies are outlined in individual service agreements.
Disputed Charges
Any billing disputes must be reported within 30 days of the invoice date. We will work in good faith to resolve any legitimate billing concerns.

Clients are responsible for any applicable taxes on services provided. Arkansas sales tax may apply to certain services as required by state law.

Project Cancellation
If a project is cancelled by the client, payment for completed work and any non-refundable expenses incurred will be due.

Limitation of Liability
To the fullest extent permitted by Arkansas law, Rockwater Consulting LLC's total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific services giving rise to the claim.

No Consequential Damages
Under no circumstances shall Rockwater Consulting LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, even if we have been advised of the possibility of such damages.

Service Performance
While we strive to deliver high-quality psychology-based marketing services, we make no guarantees regarding specific business outcomes, sales increases, or marketing performance results. Success depends on various factors beyond our control, including market conditions, client implementation, and external business factors.

Third-Party Services
We are not responsible for the performance, availability, or security of third-party services, platforms, or tools used in conjunction with our services, including but not limited to social media platforms, advertising networks, or web hosting services.

Force Majeure
Rockwater Consulting LLC shall not be liable for any delays or failures in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, government actions, or technical failures.

Indemnification
Client agrees to indemnify and hold harmless Rockwater Consulting LLC from any claims, damages, or expenses arising from client's use of our services, violation of these terms, or infringement of third-party rights.

DISPUTE RESOLUTION
Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Arkansas, without regard to conflict of law principles.

Jurisdiction
Any disputes arising from these Terms and Conditions or our services shall be resolved in the state or federal courts located in Arkansas. Both parties consent to the jurisdiction of these courts.

Dispute Resolution Process
Before initiating any legal proceedings, parties agree to attempt resolution through good faith negotiation. If direct negotiation fails, disputes may be resolved through mediation or arbitration as mutually agreed upon.
